Terms of Service

1. Acceptance
By joining the Prisma waitlist or using Prisma once it launches, you agree to these Terms of Service. You must be at least 18 years old. If you use Prisma on behalf of an agency or company, you represent that you are authorized to bind it to these Terms.
2. The Service
Prisma is a web-based social media publishing tool for freelancers, agencies, and creators: you compose a post once, and Prisma adapts it to each connected social network, routes it through your client's approval when you want one, and publishes it on schedule. Prisma is currently pre-launch: the only feature available today is the waitlist. Plans, pricing, and feature tiers will be published at launch and incorporated into these Terms.
3. Your Accounts and Connected Networks
You are responsible for the social media accounts you connect and for your activity under them. Connecting an account confirms you are authorized to publish to it. Each network's own terms of service continue to apply to everything Prisma publishes there on your behalf.
4. Acceptable Use
You agree not to use Prisma to:
- Send spam or publish unsolicited, deceptive, or repetitive bulk content;
- Violate any connected network's terms, automation rules, or community guidelines;
- Publish unlawful, infringing, or harmful content;
- Circumvent rate limits, authentication, or subscription controls, or access the service with automated scripts;
- Resell access to the service without written permission.
We may suspend publishing or terminate accounts that put the platform or its users at risk.
5. Your Content
You retain all rights to the content you create in Prisma. You grant us a limited license to store, process, adapt, and transmit that content solely to provide the service, including sending drafts to our AI provider when you ask for caption assistance and delivering posts to the networks you choose. We claim no ownership over your content and do not use it for advertising.
6. Subscriptions and Billing
Paid plans will be processed by Stripe, Inc. and billed on a recurring basis. Pricing, trial terms, renewal, and cancellation mechanics will be published at launch and shown before any charge.
7. Disclaimers and Limitation of Liability
The service is provided "AS IS" without warranty of any kind. We do not guarantee that the service will be uninterrupted or error-free, or that any network will accept, display, or keep any post (networks change their APIs and policies outside our control). To the maximum extent permitted by law, our total liability for any claim arising from your use of Prisma is limited to the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) $50.00 USD. We are not liable for indirect, incidental, punitive, or consequential damages, including lost profits or lost audience.
8. Termination
We may suspend or terminate your account for material breach of these Terms, non-payment, or if required by law. You may delete your account at any time. Upon termination, your data is handled as described in our Privacy Policy.
9. Governing Law and Venue
These Terms are governed by the laws of the State of Texas and applicable federal law of the United States, without regard to conflict-of-law principles. The exclusive venue for any dispute shall be the state or federal courts of Bexar County, Texas.
10. Changes to These Terms
We may update these Terms. If we make a material change after launch, we will notify registered users by email at least 30 days before it takes effect. Continued use after the effective date constitutes acceptance.
